The opportunity

Our Transaction Tax Practice is comprised of a dedicated team focused on the tax aspects of corporate and private equity acquisitions, dispositions, restructurings and capital market transactions. As a manager on the Transactions team, we’ll look to you to apply your knowledge to a wide range of tax areas, devising strategic outcomes to very complex issues, including US domestic and cross-border tax strategies. As a Transaction Tax Manager, you will serve corporate and private capital markets clients undertaking third-party transactions in tax diligence, general transaction advisory, and overall transaction project management. You will assist with internal restructuring and corporate and private equity buy/sell side due diligence, develop and execute tax strategy by managing risk arising from global law changes (such as Base Erosion Profit Shifting – BEPS), and advise on transactions involving financial instruments (e.g., cash, debt and equity, derivatives, foreign exchange).

Your key responsibilities

In this role, you will be responsible for the effective management and delivery of one or more processes, solutions, and/or projects, ensuring a focus on quality and effective risk management. You will drive continuous process improvement, identify innovative solutions through research and analysis, and apply your insight and experience of best practices. You may manage professional employees or supervise others to deliver complex technical initiatives, with accountability for performance and results. You will apply your depth of expertise to guide others and interpret internal/external issues to recommend quality solutions. Challenges you’ll face include developing solutions to complex problems, recommending changes to policies, and establishing procedures that affect your immediate work area and potentially the broader business function. You’ll learn to exercise judgment in selecting methods, techniques, and evaluation criteria for obtaining results. Travel requirements: Regular travel as needed by external client.

+ Leading workstream delivery and tracking deliverable completion and project status.

+ Actively participating in client working sessions and leading workstreams (planning, execution, closure).

+ Managing engagement economics and implementing resource plans and budgets.

+ Identifying and analyzing tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition, and restructuring of businesses.

+ Planning, executing, and integrating transaction strategies for clients.

Skills and attributes for success

To make an impact in this role, you’ll need strong analytical and decision-making skills, the ability to manage and deliver projects, and a focus on quality and risk management.

+ Serve as a member of multiple client engagement teams, participating in due diligence and structuring engagements related to transactions for private equity and strategic corporate clients.

+ Assist in the review and analysis of merger agreements and provide opinion letters.

+ Identify and analyze tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition, and restructuring of businesses.

+ Review, assess, and advise clients regarding tax computations reflected in their financial models; and assist clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction.

+ Responsible for continuous process improvement and identification of innovative solutions through research and analysis.

+ Applies depth of expertise to guide others and interprets internal/external issues to recommend quality solutions.

+ Meets performance objectives and metrics set locally (client service, quality and risk management, sales and business growth, solution development and teaming, etc.).

+ Develops solutions to complex problems and recommends changes to policies and procedures.

+ Exercises judgment in selecting methods, techniques, and evaluation criteria for obtaining results.

To qualify for the role, you must have

+ Bachelor’s degree required (4-year degree)

+ US CPA or member of US State bar

+ Typically, no less than 4 – 6 years relevant experience

Ideally, you’ll also have

+ Experience managing professional employees or supervising others to deliver complex technical initiatives.

+ Experience in resource planning and budget implementation.

+ Strong writing, research, analytical, communication and presentation skills.
